1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", "your") and 247 Diamonds Ltd, trading as 247CadControl ("Company", "we", "us", "our"), governing your access to and use of the 247CadControl platform, website at 247cadcontrol.com, and all related services.

By accessing or using our services, creating an account, or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

2. Eligibility and Account Registration

2.1 Eligibility

To use our services, you must:

• Be at least 18 years of age
• Be authorised to act on behalf of a legitimate jewellery trade business
• Provide accurate and complete registration information
• Maintain the security of your account credentials

2.2 Account Approval

All account applications are subject to our approval. We reserve the right to:

• Request trade references and verification documents
• Decline applications at our sole discretion
• Suspend or terminate accounts that breach these Terms

2.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use.

3. Services Description

247CadControl provides the following services to approved trade accounts:

• Jewellery CAD Modelling: Computer-aided design services for bespoke jewellery pieces
• Photo-Realistic Rendering: High-quality visual representations of designs
• 3D Immersive Viewers: Interactive 3D visualisation tools
• Production Tracking: Real-time order status monitoring
• Manufacturing Support: Production and finishing services
• Diamond Feed: Access to our inventory of certified diamonds
• 247 Envision: Customer-facing visualisation application
• Fitted Wedding Rings: Custom shaped wedding band services
• Sentimental Casting: Jewellery transformation using inherited metals
• Laser Engraving: Precision engraving services
• 3D Scanning: High-definition jewellery scanning

4. Orders and Pricing

4.1 Placing Orders

Orders may be placed through our platform, email, or telephone. Each order is subject to acceptance by us and forms a separate contract governed by these Terms.

4.2 Pricing

All prices are quoted in British Pounds Sterling (GBP) and are exclusive of VAT unless otherwise stated. Prices are subject to change without notice, but changes will not affect orders already accepted.

4.3 Design Fees

Design fees for CAD modelling and rendering may be waived when an order is subsequently placed for manufacturing. This is at our discretion and subject to the specific terms communicated at the time of quotation.

4.4 Payment Terms

Payment terms will be agreed upon account setup and may include:

• Payment in advance for new accounts
• Credit terms for established accounts (subject to approval)
• Staged payments for larger orders

We reserve the right to charge interest on overdue amounts at 4% above the Bank of England base rate.

5. Turnaround Times and Delivery

5.1 Design Turnaround

We aim to deliver CAD designs and renders within 48 hours of receiving complete specifications. This is an estimate and not a guarantee. Complex designs or high volumes may require additional time.

5.2 Manufacturing Lead Times

Manufacturing lead times vary depending on the complexity, materials, and current workload. Estimated timelines will be provided at the time of order confirmation.

5.3 Delivery

Digital deliverables (renders, videos, 3D files) are delivered electronically through our platform. Physical items are shipped via insured courier. Risk passes to you upon delivery.

6. Intellectual Property

6.1 Your Content

By submitting designs, specifications, or materials to us, you assign all intellectual property rights, including copyright, to 247 Diamonds Ltd. We become the exclusive owner of all content created during the fulfilment of your order. You retain a licence to use the designs for your own business purposes, but may not resell, redistribute, or sublicense them without our written consent.

6.2 Our Content

All CAD files, renders, designs, and any other materials created by 247 Diamonds Ltd remain our exclusive intellectual property at all times. Upon full payment, you are granted a non-exclusive, non-transferable licence to use the deliverables for your own business purposes only. This licence does not transfer ownership of the intellectual property rights, which remain solely with 247 Diamonds Ltd.

6.3 Platform Content

The 247CadControl platform, including its design, features, trademarks, and content, is our exclusive property. You may not copy, modify, or distribute any platform content without our written consent.

7. Confidentiality

We treat all client designs, specifications, and business information as confidential. We will not share your proprietary information with third parties except:

• As necessary to fulfil your orders (e.g., with manufacturing partners)
• With your explicit consent
• As required by law

This confidentiality obligation survives termination of our relationship.

8. Quality and Amendments

8.1 Design Approval

You are responsible for reviewing and approving all designs before manufacturing commences. We provide renders and visualisations specifically for this purpose.

8.2 Amendments

Reasonable amendments to designs are included in our service. Significant changes or repeated revisions may incur additional charges, which will be communicated in advance.

8.3 Manufacturing Tolerances

Handcrafted jewellery may have minor variations from renders. We work to industry-standard tolerances, and slight differences are not grounds for rejection.

9. Returns and Refunds

9.1 Digital Products

Due to the bespoke nature of our design services, digital deliverables (CAD files, renders, videos) are non-refundable once delivered.

9.2 Manufactured Items

Bespoke manufactured items are made to your specifications and are non-returnable unless:

• There is a manufacturing defect
• The item significantly differs from the approved design
• Materials do not meet specified standards

9.3 Defects and Issues

Any defects or issues must be reported within 7 days of receipt. We will assess the issue and, at our discretion, offer repair, replacement, or refund.

10. Liability and Indemnification

10.1 Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claim shall not exceed the amount paid for the specific order in question
• We are not liable for indirect, consequential, or incidental damages
• We are not liable for lost profits, business interruption, or loss of data

10.2 Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

• Your breach of these Terms
• Your infringement of third-party intellectual property rights
• Your misuse of our services or platform

11. Platform Use and Restrictions

When using our platform, you agree not to:

• Access or attempt to access other users' accounts
• Interfere with or disrupt the platform's operation
• Use automated systems to access the platform without permission
• Transmit viruses, malware, or harmful code
• Use the platform for any unlawful purpose
• Resell or redistribute our services without authorisation

12. Suspension and Termination

12.1 Our Rights

We may suspend or terminate your account immediately if:

• You breach these Terms
• You fail to pay amounts due
• We suspect fraudulent or illegal activity
• Your account has been inactive for an extended period

12.2 Effect of Termination

Upon termination:

• Your access to the platform will be revoked
• Outstanding payments become immediately due
• Provisions that by their nature should survive will remain in effect

13. Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, strikes, government actions, or supply chain disruptions.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on our website with an updated "Last Updated" date. Continued use of our services after changes constitutes acceptance of the modified Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before initiating legal proceedings, you agree to attempt to resolve any dispute through good-faith negotiation by contacting us directly.

16. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and any order confirmations, constitute the entire agreement between us.
• Severability: If any provision is found unenforceable, the remaining provisions shall continue in effect.
• Waiver: Our failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
• Third-Party Rights: These Terms do not confer any rights on third parties.
